A leading law firm is seeking an experienced Fund Formation Senior Paralegal to provide high-level paralegal support for attorneys and senior paralegals in venture fund and emerging company matters. This role is ideal for a detail-oriented professional with 5+ years of paralegal experience , strong organizational skills, and a passion for corporate and fund formation work. What You’ll Do: • Assist with all aspects of emerging company and venture fund work, including preparation and maintenance of organizational documents, partnership/LLC agreements, side letters, transfer agreements, and admission agreements . • Conduct investor suitability due diligence and review documents for fund formation matters. • Conduct research on Federal and State securities regulations and assist with SEC compliance reporting for venture fund clients. • Prepare and file requisite notices, conduct due diligence reviews, and assist with preparation of opinions and backup documentation. • Complete time sheets, e-timelogs, and other administrative tasks in a timely manner. • Perform additional duties as assigned to support attorneys and the fund formation team. What You’ll Bring: • Bachelor’s degree required; Paralegal Certificate preferred. • Minimum 5 years of paralegal experience , ideally in Fund Formation. • Ability to work independently and as part of a team in a fast-paced environment , manage multiple supervisors, and meet deadlines. • Proficiency in Microsoft Office, iManage, and other firm applications . • Strong organizational, communication, and proofreading skills with exceptional attention to detail. • Professionalism, reliability, initiative, and ability to handle sensitive client matters.
